AGREEMENT TO AFFILIATE TERMS

These Affiliate Program Terms and Conditions ("Affiliate Terms") constitute a legally binding agreement made between you, either as an individual or on behalf of an entity (“you”), and Patin Technology Partners LLC (“Company,” “we,” “us,” or “our”), regarding your participation in our affiliate program (“Program”) for the Follicle Genius iOS application and related services (“Services”).

By applying for or participating in the Program, you confirm that you have read, understood, and agree to comply with these Affiliate Terms. IF YOU DO NOT AGREE WITH THESE AFFILIATE TERMS, YOU MAY NOT PARTICIPATE IN THE PROGRAM.

1. ELIGIBILITY

To participate in the Program, you must:

  • Be at least 18 years old.
  • Provide accurate and complete information in the application process.
  • Operate a valid hair salon or related business aligned with our Services.

We reserve the right to approve or reject any application at our sole discretion.

2. AFFILIATE RESPONSIBILITIES

As an affiliate, you agree to:

  • Promote the Services responsibly and in a manner consistent with applicable laws and regulations.
  • Refrain from making false, misleading, or exaggerated claims about the Services.
  • Only use the marketing materials and affiliate links provided or approved by us.
  • Maintain the confidentiality of any proprietary information provided to you through the Program.

3. COMMISSION STRUCTURE

  • You will earn a 20% commission on the in-app purchases paid by customers referred through your unique affiliate link within one year of the customer app installation.
  • Commissions are only payable for successful transactions completed through your unique affiliate link.
  • The commission rate and structure may be modified at our sole discretion with prior notice.

4. PAYMENTS

  • Commissions will be paid out on a quarterly basis via PayPal or Bank Check.
  • A minimum threshold of $20 must be met before payout. If this threshold is not met, the balance will roll over to the next quarter.
  • You are responsible for providing accurate payment details and any applicable tax information.

5. PROHIBITED ACTIVITIES

You agree not to:

  • Engage in any fraudulent or deceptive marketing practices.
  • Use unauthorized or spammy marketing techniques, including mass unsolicited emails.
  • Bid on keywords or terms that include our trademarks without prior written consent.
  • Alter or misrepresent affiliate links or tracking codes.
  • Use offensive or inappropriate content in connection with your promotional efforts.

We reserve the right to suspend or terminate your affiliate account if you engage in prohibited activities.

6. TERM AND TERMINATION

  • These Affiliate Terms will remain in effect for as long as you participate in the Program.
  • Either party may terminate participation in the Program at any time, for any reason, by providing written notice to the other party.
  • Upon termination, you will no longer earn commissions and must remove all references to the Program and Services from your promotional materials.

7. INTELLECTUAL PROPERTY RIGHTS

All trademarks, service marks, logos, and other intellectual property provided to you are the exclusive property of the Company. Your use of these materials is limited to promoting the Services within the scope of the Program and must cease upon termination of your participation.

8. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, we disclaim all warranties and will not be liable for any direct, indirect, incidental, or consequential damages arising from your participation in the Program.

9. MODIFICATIONS TO THESE TERMS

We reserve the right to amend these Affiliate Terms at any time. You will be notified of any changes, and your continued participation in the Program after such modifications will constitute your acceptance of the updated terms.

10. GOVERNING LAW

These Affiliate Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under these terms will be resolved in the courts of Harris County, Texas.
